These Official Rules govern the Yamaha Motocross Motorcycle Giveaway ("Sweepstakes"). Participation in the Sweepstakes constitutes the entrant’s full and unconditional agreement to and acceptance of these Official Rules.

1. SPONSOR
PHNX CO LLC, located at 4919 W. Vogel Ave., Glendale, AZ 85302, is the sponsor of this Sweepstakes ("Sponsor").

2. SWEEPSTAKES PERIOD
The Sweepstakes begins on January 11, 2025 at 12:00:00 AM Mountain Standard Time(MST) and ends on May 10, 2025 at 11:59:59 PM MST ("Sweepstakes Period"). Entries received outside of this period will be disqualified.

3. ELIGIBILITY
The Sweepstakes is open to legal residents of the United States, excluding residents of New York and Florida, who are at least 18 years old at the time of entry. Employees, officers, and directors of Sponsor, its affiliates, advertising and promotion agencies, and the immediate family members or members of the same household of such individuals are not eligible to enter or win. Void where prohibited by law.

4. PRIZE
Grand Prize: One (1) 2025 Yamaha YZ125 Motocross Motorcycle ("Prize"). Approximate Retail Value (ARV): $11,583.
The winner will receive a Form 1099 for tax purposes following delivery of the prize. This form will report the value of the prize as income to the IRS, and the winner will be responsible for any applicable federal, state, or local taxes associated with the acceptance and use of the prize. No prize substitutions or cash equivalents are permitted except at Sponsor’s discretion.

5. HOW TO ENTER
During the Sweepstakes Period, you may enter using the following methods:
• Primary Method of Entry: Use a QR code displayed with the prize at various AMA Supercross events around the country and complete the form according to the directions on the landing page, including acknowledging that the potential entrant has read and understands the Official Rules document.
• Alternate Method of Entry (AMOE): Mail a handwritten note or card to PHNX CO LLC, 4919 W. Vogel Ave., Glendale, AZ 85302, including your full name, email address, phone number, and mailing address. The note must include a statement acknowledging that you have read and understand the Official Rules document. Each mail-in entry submitted will earn one (1) entry into the Sweepstakes. Sponsor is not responsible for late, lost, delayed, damaged, misdirected, or illegible entries, or for any postage due on mailed entries.
Bonus Entries: Entrants may obtain bonus entries through a qualifying purchase. For each bottle of Sauce purchased using the promo code YAMAHA at checkout during the Sweepstakes Period, entrants will receive one (1) bonus entry, up to a maximum of nine (9) bonus entries per person. An equal number of bonus entries can also be obtained through the Alternate Method of Entry (AMOE) by submitting additional handwritten notes or cards
as described in the AMOE section, with one (1) bonus entry granted per valid mail-in entry, up to a maximum of nine (9) bonus entries per person. Limit 10 entries per person regardless of entry method. Entries generated by script, macro, or other automated means are void.

6. WINNER SELECTION AND ODDS
The winner will be selected in a random drawing from all eligible entries received during the Sweepstakes Period. The drawing will take place on or about May 20, 2025. Odds of winning depend on the total number of eligible entries received.

7. WINNER NOTIFICATION
The potential winner will be notified via telephone and/or email on or about May 20, 2025. The potential winner must respond within 48 hours of notification. If a potential winner is ineligible, does not respond within the specified time, or declines the prize, an alternate winner may be selected from remaining eligible entries. Potential winners may be required to sign and return an Affidavit of Eligibility and a Liability Release within 72 hours following the date of first attempted notification. Failure to comply with this deadline may result in forfeiture of the prize and selection of an alternate winner, if
time permits. All properly claimed prizes will be awarded.

8. PUBLICITY RELEASE
By participating, the entrant grants Sponsor the right to use the entrant’s name, likeness, and submission for advertising, publicity, and promotional purposes without additional compensation, unless prohibited by law.

9. PRIVACY
Personal information collected in connection with the Sweepstakes is subject to the Sponsor’s privacy policy, available at https://www.heartbeathotsauce.com/policies/privacy-policy.

10. RELEASE OF LIABILITY/INDEMNIFICATION
Sponsor is not responsible for late, lost, stolen, damaged, misdirected, incomplete, or illegible entries. By participating in the Sweepstakes, entrants and prize winners agree to release, discharge, indemnify, and hold harmless the Promotional Entities, including the Sponsor, its affiliates, and its employees, and each of their respective officers, directors,
employees, representatives, and agents (collectively, the “Released Parties”) from and against any claims, damages, or liability due to any injuries, damages, or losses to any person (including death) or property resulting from receipt, acceptance, possession, misuse, or use of a prize or participation in any promotion-related activity or the Sweepstakes.

11. DISPUTES
This Sweepstakes is governed by the laws of the United States. Except where prohibited, each entrant agrees: (i) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the federal or state courts in the State of Arizona; (ii) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, excluding attorneys’ fees; and (iii) under no circumstances will entrant be permitted to obtain an award for, and each entrant hereby waives all rights to claim, punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses. All claims or disputes related to or involving these Official Rules and/or this Sweepstakes shall be governed by and construed in accordance with the laws of the State of Arizona, without giving effect to any choice of law or conflict of law
rules, which would cause the application of the laws of any jurisdiction other than the State of Arizona.

12. MISCELLANEOUS
Sponsor reserves the right to modify, suspend, or terminate the Sweepstakes in the event it becomes incapable of running as planned due to any reason, including but not limited to technical failures or tampering.
